Marine To Join Horizon Bancorp

WILDWOOD - The Boards of Directors of The Marine National Bank of Wildwood and Horizon Bancorp of Morristown, New Jersey have agreed in principle that Marine National Bank will become a member of Horizon Bancorp. Under the terms of the proposal, Horizon will issue 4.5 of its common shares for each of the

157,388 outstanding common shares of Marine National. The market, value of the transaction is approximately $10,000,000. The proposal will require approval by Marine National sharhoklers as well as by regulatory

agencies.

Income before security transactions for the same year was $1.0 million. Under the terms of the proposal Marine National would continue to operate as a separate entity, under its present name, with its present directors, officers and employees. Three directors of Marine National will join the Horizon Bancorp board and two directors of Horizon will join the Marine National board. James L. Billmeyer, President and Chief Executive Officer of Marine national, termed the affiliation an excellent relationship. It will continue the Marine National tradition of customer and community service, while providing the bank with additional resources for developing and expanding its services and service areas. In addition, he stated, the non-taxable stock exchange will provide substantial increases in dividends, market value. and marketability for The Bank's shareholders. Horizon Bancorp's present banking subsidiaries are American National Bank & Trust of New Jersey and Princeton Bank and Trust Company. A non-banking subsidiary. Horizon Creditcorp, specializing in yacht financing and secondary mortgages, has offices in New Jersey, Florida and Texas. At year-end 1978 Horizon had total assets of $833 million. Horizon earlier reported the acquisition of the $41 million deposit Bergep Bank of Commerce, Paramus, which is . expected to be effective July 23. In addition, the Boards of Directors of the $82 million deposit Franklin Bank of Paterson and Horizon voted Jjily 16 that Franklin Bank will become a member of Horizon. Night In Venice Boat Parade OCEAN CITY — Ocean City’s Night In Venice Boat Parade, one of the largest events of its kind in the nation, will mark its 25th anniversary here July 21. All street? at lagoons which will be entered by Night In Venice parade boats will c^ose at 4 p.m. the eveniaa of the celebration. Omy residents will be permittld to enter and exit the area after that. The restriction is necessary due to possible safety hazards caused by cars blocking streets and driveways.
