The commission plans to distribute 70,000 of the 100,000 brochures ordered in less than one year. The brochure was produced .by Douglas Hunsberger Photography/Sunny Day Magazines, which promotes other resorts and leisure facilities on the

East Coast.

ATLANTIC CITY - Thomas J. Stanton Jr., Chairman and Chief Executive t Officer of First Jersey National Corporation and Joseph F. Bradway Jr.. Chairman, president and chief executive officer of Guarantee Bancorp, Inc., jointly announced that a definitive agreement has been signed for First Jersey National Corporation to acquire Guarantee Bancorp, Inc. The transaction is valued at approximately $40.5 million. Under the terms of the agreement, each of the 4.6 million outstanding siiares of Guarantee’s common stock will be exchanged for $8.75 in cash or for shares of a new issue of First Jersey’s cumulative convertible voting preferred stock. The maximum number of Guarantee share? for which cash will be paid is 1.4 million and will be allocated among those shareholders who held 20,000 or more shares as of April 29, in descending order based on the largest number of shares owned as of the effective datp of merger. The preferred stock will carry a cumulative dividend with a yield equivalent to 3 percent above the yield on First Jersey’s common stock in effect two days before the closing. The agreement is subject to various conditions including shareholder and regulatory approvals. Guarantee reported net income of $2,187,000 or 47 cents per share for the first six months of 1983 and had assets of approximately $444 million as of June 30. Guarantee owns Guarantee

$50 Million On SEC Shelf

JERSEY CITY, - first Jersey National Corporation said it filed a shelf registration with the Securities and Exchange Commission covering $50 million of senior debt securities. First Jersey may offer the securities from time to time as determined by market conditions, and as separate series in amounts and at prices and terms to be determined at the time of sale or sales. The net proceeds will be used to refinance shortterm debt, for the cash portion of a recently announced acquisition and general corporate purposes.
