FOLSOM - William F. Ryan, president of South Jersey Industries, Inc. (SJI) announces that it has proposed a merger with New Jersey Resources Corporation (NJR). Ryan indicated that under the terms of the preposal each NJR shareholder could elect to receive either 1.183 shares of SJI common stock of $30 ca$h for each of his NJR shares, subject to the limitation that a maximum, of SO percent of the 'NJR shares would be acquired for cash. The SJI common stock to
be exchanged has a value of $30 based on SJI’s closing price of $25-5/8 on Nov. 17. NJR shareholders receiving SJI stock would benefit from an improved dividend equivalent to approximately $2.75 per share compared to current NJR dividends of $1.84. South Jersey Industries, a diversified holding company with interests in natural gas distribution and natural resource development, is listed on the New York and Philadelphia stock exchanges and is traded under the symbol “SJI”.

(South Jersey Industries) declared a regular quarterly dividend of 58 cents per share on the 2,767,913 shares outstanding of common stock of .the company for the fourth quarter of 1983, payable Jan. 3,1984 to shareholders of record at the close of business Dec. 9. FOLSOM - Ten Cape May County residents were among 118 employes of South Jersey Gas Co., honored at the company's annual awards dinner recently for service ranging from five to 35 years.
Nine Cape May County Division employees were welcomed by William F. Ryan, president of the company and the other honorees. They. received recognition for prior years of service with the New Jersey Natural Gas Co.,
October. Local, residents honored were: William R. Kiser, North Cape May, 35 years; Edward Evanchyk, North Wildwood, 30 years; Daniel A. Tarsi, North Cape May, 20 years; Thomas H. Dunn and Sandra M. Harris of Wildwood, and John E. Keller, Dennisville, 10 years; Joseph R. Betz, Avalon, Robert C. Adams. Ocean City, Robert Mannice, Town Bank, and John Murphy, Court House, five years.
