EDISON — Midlantic Banks Inc has announced that it has filed a registration statement with the Securities and Exchange Commission, covering $75 million principal amount of Convertible Subordinated Debentures due 2010. The debentures will be convertible into common

stock of Midlantic. which is traded over the counter on the NASDAQ National Market System under the symbol MIDL. THE FIRST Boston Corporation and Shearson Lehman Brothers Inc. will co-manage the underwriting syndicate. The net proceeds from the sale of the debentures will be used to repay shortterm debt incurred to fund the cash portion of the acquisition of Heritage Bancorporation. which was consummated May 1. The balance of the proceeds will be used for general corporate purposes.
