Statewide To Acquire Subsidiary TOMS RIVER - Statewide Bancorp and The Penn's Grove National Bank and Trust Co. have announced a proposed merger transaction in which The Penn's Grove National Bank and Trust Co. would become a separate subsidiary of Statewide Bancorp. The merger is subject to, among other conditions, the necessary shareholder and regulatory approvals. The agreement calls for a tax-free exchange of eight shares of Statewide Bancorp common stock for each share of the Penn's Grove National Bank and Trust Co. stock. Based upon the closing bid price of Statewide Bancorp stock June 17, this transaction is valued at approximately $11,400,000.
